20-YEAR FINISH WARRANTY

 

MM Systems (MMSC) makes the following warranty concerning the Fluoropolymer coating (Coating) used as an exterior finish on the MMSC products (Product) installed in the continental United States.

1. WARRANTY. MMSC warrants that from the date of shipment of the Product, the coating will not, under normal atmospheric conditions (which term excludes corrosive or aggressive atmospheres such as those contaminated with chemical fumes or salt spray):

A. Peel, check or crack (except for such slight crazing as may occur on tightly roll-formed edges or brake bends at the time of forming prepainted sheet and which is accepted as standard) during the warranty period.

B. (1) Chalk in excess of numerical rating of eight (8) during the warranty period when measured in accordance with the standard procedures specified in ASTM D4214, without change in substance;” or

(2) Fade or change in color in excess of five (5) NBS (ATSM D2244) units during the warranty period when measured on the exposed painted surfaces which have been cleaned of external deposits and chalk and the corresponding values measured on the original or unexposed painted surfaces. It is understood that fading or color changes may not be uniform if the surfaces are not equally exposed to the sun and elements. (SEE NOTE 1).

2. WARRANTY PERIOD. MMSC makes the above warranty for a period of twenty (20) years, subject to the following conditions:

A. The warranty will not extend to or cover: (1) damage to the coating occasioned by moisture or other contamination detrimental to the coating because of improper storage of the Product prior to installation; or (2) damages to the coating caused by handling, processing and/or installation; or (3) damages to the coating caused by scratching or abrading after installation; or (4) damage to the coating caused by failure of the substrate metal or caused by rust occurring on the substrate metal; or (5) any wash coat applied to the Product.

B. The warranty shall not be applicable to damage or failure which is caused by acts of God, falling objects, external forces, explosions, fire, riots, civil commotion, acts of war (declared or undeclared), radiation, harmful fumes, foreign substances in the atmosphere including corrosive or aggressive atmospheres, such as those contaminated with chemical fumes or salt spray, or such similar or dissimilar occurrences beyond MMSC’s control.

C. In the event of a claim under this warranty, MMSC shall be furnished proof of date of the installation of the MMSC product finished with the coating and shall demonstrate that the failure of the coating was due to a breach of the warranty stated herein.

D. MMSC’s liability under this warranty will be limited to refinishing or replacing the defective coated Product, but in no event is the liability to exceed the original amount paid to MMSC for the Product. Refinishing of the defective coated Product shall be performed by using standard finishing practices and materials (not necessarily the Fluoropolymer coating) as selected by MMSC. MMSC will in all instances have the option of determining which of the above shall be utilized to fulfill its obligation. The cost of refinishing or replacing shall be prorated between MMSC and the owner and MMSC’s share of such cost shall be 100% during the first ten (10) years of the warranty period, its percentage share to be decreased at the rate of 10% per year thereafter during the remainder of the warranty period. In no event shall MMSC’s responsibility exceed the cost of refinishing the defective coated Product, and in all cases, MMSC reserves the right to approve and/or negotiate the contract for such repainting. The warranty on any refinished or replaced Product supplied hereunder shall be for the remainder of the warranty period applicable to the Product originally coated.

MMSC AND ITS AGENTS AND EMPLOYEES SHALL NOT BE LIABLE TO BUYER OR ANY THIRD PARTY, IN CONTRACT, WARRANTY, TORT, STRICT LIABILITY OR OTHERWISE, FOR INCIDENTAL, CONSEQUENTIAL, ACTUAL, PUNITIVE, EXEMPLARY, SPECIAL, OR INDIRECT DAMAGES OF ANY KIND DIRECTLY OR INDIRECTLY RESULTING FROM OR RELATED TO ANY MATERIALS, GOODS, WORK OR SERVICES DESCRIBED HEREIN OR PROVIDED HEREUNDER, WHETHER OR NOT CAUSED BY THE NEGLIGENCE OF MMSC OR ITS AGENTS OR EMPLOYEES, TO THE FULLEST EXTENT SAME MAY BE DISCLAIMED BY LAW. LIABILITY FOR DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, WHETHER IN AN ACTION BASED ON CONTRACT, WARRANTY, TORT, STRICT LIABILITY OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT PAID TO MMSC FOR THE GOODS COVERED BY THIS QUOTATION.

E. Claims under the warranty must be made to MMSC in writing within thirty (30) days after the defective coating is discovered and MMSC must be given a reasonable opportunity to inspect the coated Product claimed to be defective.

F. This warranty is extended to the original building owner alone and is nontransferable. Although the warranty may be issued prior to final payment, it does not become effective and MMSC has no obligation hereunder until all monies owing MMSC per its records on the project are paid in full. The warranty period is not extended on account of any delays in payment.

G. EXCEPT AS SET FORTH HEREIN, MMSC MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE PRODUCT.

NOTE 1:

The warranties made in Section 1 (B) above apply to vertical surfaces only. Non-vertical surfaces are subject to the following conditions:

(A) When exposed at an angle not in excess of 15 degrees from the vertical, finish will not chalk in excess of an ASTM numerical rating of 6 or face or change in color in excess of 5 units.

(B) When exposed at an angle of between 15 degrees and 60 degrees from the vertical, finish will not chalk in excess of an ASTM numerical rating of 6 or fade or change in color in excess of 7 units.

(C) When exposed at an angle of between 60 degrees and 75 degrees from the vertical, finish will not chalk in excess of an ASTM numerical rating of 4 or fade or change in color in excess of 7 units.

(D) Will not erode to base metal due to weathering when exposed at an angle of greater than 75 degrees from the vertical.
